PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THIS WEBSITE, PLATFORM, OR THE MATERIALS. 

 

Welcome to rapidusmr.com. The website (“Website”) is owned and operated by Rapidus s.r.o. (“Rapidus,” “we,” “our,” or “us”), an EU-based company operating globally. This Website and materials comply with applicable laws and regulations. This document constitutes a binding agreement (“Agreement”) between Rapidus and you (“You”, “Your” or “your”). This Agreement governs your use of the Website (www.rapidusmr.com) and our Software (https://app.rapidusmr.com) (collectively, the “Platform”) including, without limitation, all content such as text, information, images, software, and all other information, services, and materials (collectively, the “Materials”) and all information made available to you or by you through this Platform by Rapidus and/or third parties. 

1. Definitions 

Platform: The collective services and functionalities provided by Rapidus through its Website www.rapidusmr.com and its Software accessible at https://app.rapidusmr.com, including all content, text, information, images, software, services, and materials made available to Users. 

User: Any individual who accesses, registers, or uses the Platform. Users are categorized as: 

Guest User: Individual who visits the Website for informational purposes without creating a Platform account. 

Member, Registered User, or Panellist: Healthcare professionals (HCPs) who create a Platform account, are verified by Rapidus, and eligible to participate in healthcare studies. Registered user, panellist 

Panel: An online community of certified and verified HCPs registered to our Platform, via Rapidus owned exclusive Software accessible at https://app.rapidusmr.com. Only the Registered Users are eligible for paid Study participation.  

Service: All functionalities, features, and activities provided by Rapidus through the Platform, including access to healthcare market research studies (“Studies”), data collection, account management, support, and payment processing for participation in Studies. 

Agreement: These Terms and Conditions constitute a legally binding contract between Rapidus and the User governing the use of the Platform and Services, including any updates, amendments, or modifications. 

Rapidus: Rapidus s.r.o., a healthcare market research agency responsible for operating the Platform, and providing Services. Located at U Trojice 1042/2, Smichov (Praha 5), 15 000 Prague, Czech Republic, EU. 

Healthcare Professional (HCP): Licensed physicians or any other certified healthcare professionals eligible to create an account on the Platform, participate in Studies, and receive compensation. Rapidus’s global panel allows membership to HCPs of any specialty and from any location. 

Materials: All content provided by Rapidus on the Platform, including text, information, images, videos, software, social feed, and other informational or service-related elements. 

Study: Any market research activity or survey available on the Platform in which Registered Users can participate and receive monetary compensation for completion. 

Compensation: The monetary reward, honoraria or incentive provided to Registered Users upon successful completion of a Study, as specified within the Platform. 

Account: The personalized online profile created by a Registered User on the Platform, including registration information, participation history, monetary funds, and preferences. 

User Submissions: Any content, information, or data uploaded, or transmitted by Users to the Platform, such as survey responses, personal profiles, e-mails, feedback, testimonials, social media engagement, and other communications. 

Privacy Policy: The document outlining how Rapidus collects, uses, stores, and protects personal information of Users, accessible on the Platform and forming an integral part of the Agreement. 

 

 

2. Rapidus HCP Panel 

A. Membership and Required Information 

Rapidus Platform membership makes you a part of the Rapidus HCP Panel (“Panel”), owned and maintained by Rapidus (“Panel”). As a registered and verified Panel member, you will have access to the below Services as well as eligibility to receive invitations to participate in paid healthcare market research surveys and in-depth video interviews (“Studies). Participation in the Panel is free and may generate monetary compensation. As a Panel member, Rapidus may contact you multiple times via any and all contact information that you provide. 

You may only join Panel once. Membership is personal to you and is not transferable to any other person. Rapidus has the right to refuse any membership request to its Panel.  

To complete your Panel registration, you will be asked to provide personal information about you and on key profiling demographics that we need, at a minimum, to ensure you are eligible to become a member of the Panel and to ensure that once you have successfully registered with the Panel that you have an opportunity to be invited to the surveys as may be applicable. You are responsible for ensuring that your personal details and your profile data at any point are true, accurate and current. 

Providing additional information as part of your profile, which is accessible on your personal member pages, is not required but may further increase your chances of being invited to surveys relevant to you. 

B. Login Credentials

It remains your responsibility to ensure your login credentials (e-mail, username and password (“Credentials”)) are kept it confidential. Rapidus will not be liable for any unauthorized use of your account, which includes unauthorized use of your credentials. 

C. Removal from Panel

If you no longer wish to be a member of the Panel, you may request to opt-out from the Panel at any time. If you choose to opt-out of the Panel, you terminate your Platform membership. However, upon termination of your participation with the Panel, you have any right to any honoraria or incentives not yet reimbursed to you and pending or available on your Platform account. 

 

We currently provide the following opt-out opportunities: 

(a) At any time, you can follow a link provided in e-mail messages (in all Study invitations) received from us to unsubscribe. If you unsubscribe, we may still contact you regarding the status of your existing funds (Rapidus ensures that you receive all of your earned incentives before deleting your Platform account as per our retention policy), and communication relevant to opt-out, such as our further request for your confirmation of the decision to unsubscribe with additional information supporting your decision. This information may help us enhance the user experience for all our Platform members.  

 

(b) At any time, you can send an e-mail to support@rapidusmr.com to communicate your decision to unsubscribe. We will always respect and administer your decision to opt out. We reserve the right to contact you regarding the status of your existing funds, and communication relevant to opt-out, such as our further request for your confirmation of the decision to unsubscribe with additional information supporting your decision. This information may help us enhance the user experience for all our Platform members. 

 

D. Termination of Panel Participation 

Rapidus reserves the right to suspend or cancel Panel membership, together with any outstanding honoraria or incentives, if applicable, if one of the following events occurs: 

(1) You breach any of the Terms and Conditions (including any terms found in the Privacy Policy). 

(2) You misuse your membership on the Panel or use it for any improper purpose. 

(3) Any activities on your account(s) or your participant responses to surveys are subject to investigation in regards to data integrity, reliability or validity. 

(4) Rapidus’s right to process and use any information necessary to run the Panel is legally withdrawn, by law or otherwise.

E. Other Services Available to Rapidus Panelists

Apart from paid healthcare Studies, Panel members also have the opportunity to participate in additional Services. Our ongoing Referral Program with a scope of active community growth provides the opportunity to refer any HCP from any location, and to earn a bonus, each time each of the referred contacts registers to the Panel and completes their first study successfully. You can refer unlimited number of colleagues. Whenever you provide us with any personal information regarding another individual, such as when you adhere to our Referral Program and invite your colleague to join our Panel and participate in paid Studies, you represent that you have that person’s consent to give us his or her information and to permit us to use the information by this Privacy Policy and to contact that person. Your colleague will go through the standard registration and verification process to support their identity and HCP background.  

 

F. Compensation

(a) Payment Policy 

Rapidus and its clients may present you with opportunities (“Opportunities”) for interaction with Rapidus and its clients. Participation in Opportunities may include interactions in a form of Studies on third party websites. You may be offered compensation for participation in certain Opportunities. Your completion of such an Opportunity does not constitute confirmation of Rapidus’s obligation to compensate you for unsuccsessful participation.  

 

Compensation for Opportunities in a form of a survey shall require that you: 

(1) Receive an e-mail notification from Rapidus about your successful completion of such Opportunity, which will result in your account displaying the incentive for the survey’s status as “Pending” on your Platform personal account, and  

(2) Rapidus receives a final confirmation from the client, after the client’s verification of your successful completion and validity of your submited responses, 14 days upon your survey completion. This successful confirmation will automatically change the status of your incentive from “Pending” to “Available” on your personal Platform. This will make your funds available for withdrawal. Rapidus is not required to notify you of the status of your funds, and you are encouraged to log in and monitor your funds.  

 

Compensation for Opportunities in a form of an in-depth video interview shall require that you receive an e-mail notification from Rapidus about your successful completion of such Opportunity, and prompt incentive processing by Rapidus, which will result in your account displaying the incentive for the survey’s status as “Available” on your Platform personal account. This will make your funds available for withdrawal.  

 

No payments shall be made by Rapidus without your withdrawal request.  

Rapidus is not required to notify you of the balance and status of your funds, and you are encouraged to log in and monitor your funds.  

The value of an Opportunity varies and is subject to change at any time without notice.  

The criteria by which an Opportunity becomes eligible for payment is subject to change at any time. Rapidus reserves the right at any time to withhold or cancel any of your payments or fees due for any reason including any actions or omissions on your part that are not successfully completed, unauthorized, fraudulent or otherwise violate the terms of this Agreement. 

Rapidus reserves the right to assign you a “Quota Full” status, even when you complete the entire survey, while the client has already received a sufficient number of responses and closed the Study or your quota group. Rapidus will notify you by e-mail on such status and will not be required to provide compensation in such instance. 

 

(b) Earning 

If you participate as a Panel member in surveys or other Opportunities, you may be entitled to compensation for successfully completed participation, depending upon the specifics of the survey or Opportunity. The value of your honorarium or incentive, always communicated to you prior to survey participation, is dependent on multiple factors, such as the fair market standard value, the length of the survey or interview (“LOI”), the complexity of the research project, your specialty, location, the type of survey and related Service, and any local regulations in your jurisdiction. 

 

Upon completion of a survey or other Opportunity for which you are entitled to a compensation, the compensation will be transferred to your personal Platform account as described in the Payment Policy section above. 

Rapidus allows you to hold your honorarium in your Rapidus maintained personal Platform account. You will be able to either hold and accumulate your funds on this account, or choose to withdraw part, or the totality of your balance by submitting a withdrawal request directly from your account. Every time you sumbit a withdrawal request you will get to make the choice of how much of your funds to withdraw by selecting an amount and preferred payment method. 

 

(c) Withdrawal 

The compensations that you earn are accumulated until withdrawn via your active Platform account.  

 

In order to withdraw your honoraria, you must select “Withdrawal Request” from your personal Platform account dashboard. All or some of your balance can be withdrawn using a number of fee free methods provided by Rapidus, which may include bank transfer, Interac, prepaid debit card, gift card, or donation to charity. 

 

Rapidus reserves the right to substitute any honoraria or incentive for a reward of equivalent value or higher value if the applicable honoraria or incentive is not available for an unacceptable amount of time.  

Payments are to be made to the individual Rapidus account owner, as held on file by Rapidus, unless previously requested differently via e-mail, or upon the payment details change in your Account. 

You are responsible for the confidentiality of your account information as further set below. If a third party uses your account to withdraw your balance without your consent, Rapidus has no liability for refunding your balance.

(d) Information Sharing and Third Parties 

Rapidus reserves the right to appoint third party processors to process and administer any compensation. When using third party providers, Rapidus takes all reasonable measures to ensure your privacy is protected. For more details on how your privacy is protected see our Privacy Policy. 

 

(e) Delivery 

Rapidus takes all reasonable measures to ensure that any applicable payments are generally made to you within 1 to maximum 2 weeks after your withdrawal, depending on your payment preference. The length of the payment time may vary depending on your country of residence. 

You are responsible to notify Rapidus if you do not receive payment that you believe you are due, within 6 months of a submission of a withdrawal request. Failing to do so may further delay or result in the waiver of your payment.  

Rapidus shall not be liable for any losses suffered due to any errors in the administration of payment due to incorrect payment details that you provide to Rapidus. 

 

(f) Taxes 

You are responsible to declare any taxes, if due, to your local financial authorities as a result of compensation that you receive as set below. Rapidus will not be liable for any taxes or for providing any assistance on tax matters. Details on any compensation paid to you can be found on your personal Platform account. 

 

(g) Cancellation and Changes to Balance 

Rapidus reserves the right to quarantine or cancel your balance of honoraria or incentive due, in whole or in part, if it suspects fraud, foul play or breach of any of the clauses set out in our Terms and Conditions and Privacy Policy. 

Rapidus reserves the right, to amend or withdraw any funds credited to your Platform account in error. 

Rapidus reserves the right to revert your honoraria or incentive if it has not been claimed or used for a period of 12 months from the date of issue. After the 12 month period any reverted honoraria or incentive will be reissued upon request of the recipient. However the request must be submitted to support@rapidusmr.com, within 6 months of the expiry of the prior 12 month period, failure to do so will result in the honoraria or incentive being forfeited. 

It is your responsibility to keep track of any payments you may be due. 

 

(h) Inactivity 

Rapidus  reserves the right to close your personal Platform account if it has been inactive for a period of 12 months from the date of the last withdrawal or last survey or Opportunity completion, whichever is the most recent. All funds in closed account will be forfeited. 

 

3. Materials

Ownership of Materials

All Materials are provided by Rapidus unless otherwise specified. All intellectual property rights in the Materials are owned by Rapidus unless otherwise specified. These Materials are copyrighted and protected by international copyright laws and treaty provisions. They may not be copied, reproduced, modified, published, uploaded, posted, transmitted, performed, or distributed in any manner without the prior written permission from Rapidus. However, publicly available Rapidus advertising content, such as social media posts, website content, video or print advertising materials, can be shared without permission. Use License

Unauthorized use of Materials or information on this Platform may violate patent, copyright, trademark, and other laws. Any use of this Platform or the Materials is considered a limited use license, not a transfer of ownership, and is subject to the following restrictions: You may not (a) modify any Materials in any way or use them for any commercial purpose, public display, performance, sale, or rental; (b) decompile, reverse engineer, disassemble, or create derivative works from the Materials; (c) remove any confidentiality, privacy, patent, copyright, trademark, logo, or other proprietary notices from the Materials; (d) transfer the Materials to another person or entity in ways inconsistent with the Agreement and Rapidus policies. You agree to prevent any unauthorized copying of the Materials or information. 

Termination of this Use License

Rapidus reserves the right to terminate this use license at any time if you breach the terms of this Agreement. Upon termination, you must immediately destroy any Materials in your possession, if any, and cease all use of the Platform. 

Conditions of Use and Terms

To use any Materials, you must (a) be a licensed physician or other HCP, (b) be a registered and verified participant of the Platform, and (c) be a resident in the country where you are practicing. Prior to using this Platform and for registration and account verification purposes, you must provide Rapidus with information, including your name, surname, verified e-mail address, location, specialty, and other relevant demographics. By submitting this information to Rapidus, you certify all assertions made under this Section and agree to authorize Rapidus to confirm the accuracy of such information. You may be required to support such information with relevant documentation.  

 

4. Modification to Payments and Terms 

Rapidus reserves the right to change its payment and other terms provided by the Platform and Services at any time, effective immediately after such changes are displayed on the Platform or e-mailed to Registered Users.  

 

5. Methods of Payment and Taxes 

If any payment due under this Agreement is subject to any tax or other deduction payable by you, such tax or deduction shall be paid by you, ensuring that payments made by Rapidus are complete and free of any liability for such taxes or deductions. You agree to bear the expense of local, state, and/or federal government licenses, sales and use taxes, foreign withholding tax, property, and ad valorem taxes, which may be imposed or assessed concerning payments made by Rapidus to you under this Agreement. Rapidus will make all payments due under this Agreement in your local currency chosen upon registration to the Platform. 

 

6. Security 

This Platform is intended by Rapidus to require a valid, working e-mail address and password to access and use the Materials and other features on the Platform. You are solely responsible for (1) maintaining the strict confidentiality of the username and password (collectively, “credentials”) assigned to you, (2) not allowing another person to use your credentials, links and assigned IDs to access the Platform and Studies, (3) any damages or losses that may be incurred or suffered as a result of you or your failure to maintain the strict confidentiality of your credentials, Study links and IDs, and (4) promptly informing Rapidus in writing of any need to deactivate credentials, link or ID due to potential or actual security concerns. Rapidus is not liable for any harm related to the theft of your credentials, your disclosure of your Study links or ID, or your authorization to allow another person or entity to access and use the Platform and Services on your behalf. You agree to immediately notify Rapidus in writing of any unauthorized use of your account.  

 

7. Medical Disclaimers 

The Materials provided are solely for informational and educational purposes and are not a substitute for the professional judgment of an HCP in diagnosing and treating patients. Neither Rapidus nor you are permitted to advise, diagnose, or otherwise treat users of this Platform or social feed. The content and any other service offered by or through this Platform or social feed are not intended for medical diagnosis or treatment. Individuals accessing this information assume full responsibility for its use and agree that Rapidus is not responsible or liable for any claim, loss, or damage arising from the use of the information. Rapidus does not recommend or endorse any specific drugs, tests, physicians, products, procedures, opinions, off-label drug uses, or other information that may be mentioned on the Platform or social feed. Your reliance on the Materials obtained or used by you is entirely at your own risk. 

 

8. Representation 

As a Platform user, you are liable for the accuracy of the information that you share, including, but not limited to, your personal and professional representation as outlined in Section 1. You certify that you are not a paid consultant or have any other financial interests in the information you provide to this Platform, including, but not limited to, the promotion of off-label drug uses, the disclosure of confidential clinical trial or other proprietary information. 

 

9. Patient Data and Legal Compliance 

The Platform is not intended for the transmission, storing, review, or receipt of confidential and identifiable patient information (“Patient Information”). However, if you upload such Patient Information to the Platform, the following terms apply. We assume no responsibility for your use of Patient Information or other confidential information shared, received, stored, transmitted, while using the Platform or the Materials. We reserve the right to amend or delete any material, restrict access or to revoke membership to the Platform in the case of violation of the above.   

 

10. Privacy and Data Protection 

For information on how user data is collected, stored, protected, shared, and used, please refer to our Privacy Policy. Rapidus is committed to complying with the General Data Protection Regulation (GDPR) and other relevant data protection laws. The Privacy Policy outlines the types of personal data we collect, the purposes for which we collect it, how we use it, the measures we take to protect it, the data retention and deletion practices, and your rights regarding your data. 

 

11. General Disclaimers 

The Materials and the Platform are provided “as is” without any express or implied warranties, including warranties of merchantability, non-infringement of intellectual property, or fitness for any particular purpose, or warranties arising from trade practices.  

 

Rapidus, and their respective members, directors, employees, and agents shall not be liable to you or any other entity for any damages, including but not limited to direct, compensatory, indirect, incidental, consequential, special, exemplary, or punitive damages, including, without limitation, damages for loss of profits, business interruption, loss of information, and loss of business opportunities arising from:  

(1) the use of or inability to use the Materials,  

(2) reliance on the content and Materials or the Platform,  

(3) errors, inaccuracies, omissions, defects, untimeliness, security breaches,  

(4) information communicated through e-mails, messages, video interviews, or engagement on social feed,  

(5) compliance with any law, rule, regulation, law enforcement, government officials, or legal authority, or  

(6) any other failure to perform by Rapidus policies.  

 

The foregoing applies regardless of whether Rapidus has been advised of the possibility of such damages.  

 

Rapidus also makes no representations or warranties that your access to and use of the Platform, materials, or third-party sites:  

(1) will be uninterrupted or error-free,  

(2) is free of viruses, or other harmful components,  

(3) is secure, or  

(4) will meet your satisfaction.  

 

You are responsible for taking necessary precautions to protect yourself against any claim, damage, loss, or hazard that may arise from your use of the Platform. Some jurisdictions may not allow these disclaimers and limitations, so the above limitations may not apply to you.  

 

Rapidus further does not warrant the accuracy or completeness of the information, text, graphics, links, or other items contained within the Materials. Rapidus may change these Materials, update Platform software or the Services described, at any time without notice and makes no commitment to update the Materials. Any description of Materials does not represent that such materials are available for sale or distribution by you or third parties. 

 

12. Indemnity 

You agree to defend, indemnify, and hold Rapidus and their respective members, directors, employees, and agents harmless against any losses, expenses, costs, or damages (including Rapidus’s reasonable attorneys’ fees, expert fees, and other reasonable litigation costs) arising from, incurred as a result of, or in any way related to  

(1) your breach of this Agreement,  

(2) your unauthorized or unlawful use of the Platform or the Materials, and  

(3) the unauthorized or unlawful use of the Platform by any other person using your Platform account on your behalf. 

 

13. User Submissions 

Personal Platform Profile 

To register and create your Platform account using the “Join panel” button on our Website, and to participate in Studies, you will be required to provide us with your name, surname, e-mail, country, HCP type, primary specialty, and preferred payment currency.  

Upon submission of the registration form, you will be contacted by e-mail by our Platform and requested to verify your e-mail address.  

As part of the registration process, you may be requested to provide a copy of your professional license or other official document supporting your HCP type or specialty. To verify your identity, you may be requested to provide your photo government identification document. These documents will be used for one-time verification purposes only, and treated in line with our security policies and data retention policies. This will be sufficient for your verification, and Rapidus account creation and administration. 

Furthermore, during the registration process, or once a registered member of the Platform, you may opt to provide additional information in your personal Platform account, such as your subspecialty, work setting, date of birth, position, whether you are a KOL, a head of department, phone number, etc. Providing any of this additional information is optional.  

A more detailed profile enhances your overall experience with the Platform. While it enables us to invite you to more Studies matching your professional and personal interests, it also lowers the chances of being screened out or terminated from specific Studies. You can update or remove any or all of this information anytime by logging in to your Platform account. To learn how we use your information, consult our current Privacy Policy.  

 

General 

Any of your public engagement on our social feed, posting of any material, information, or other content you choose or agree to share, transmit or post to the Website, Platform, Rapidus social feed or third-party sites, or your content contributions shared with us by any communication means on your initiative or upon our request (such as testimonials and reviews communicated and consented to via e-mail or publicly) will be considered non-confidential and non-proprietary (“Communications”), unless otherwise agreed in writing prior to your submission. Rapidus will have no obligations with respect to the Communications.  

Rapidus hereby grants you a non-exclusive, non-transferable license to re-use or republish your own contributions made to the Rapidus Website or social feed in its original or derivative form including for republication elsewhere, such as in your own social feed. This license is adherent to your rights to republish publicly available Materials (as per Section 2). Rapidus and its designees will be free to use for any purpose, copy, disclose, distribute, incorporate, and otherwise use the Communications and all data, images, video, sound, text, and other things embodied therein for any commercial or non-commercial purposes to the extent permitted by applicable law. Rapidus shall be free to use any ideas, concepts, know-how, or techniques contained in such information for any purpose whatsoever including, but not limited to, developing and marketing.  

You agree that Rapidus may invite you to participate in certain educational, promotional, or financial opportunities. 

 

Code of Conduct: 

All Users and Registered Users of the Rapidus Platform are welcome to use it, but they are expected to adhere to the following Code of Conduct: 

 

(1) Accuracy 

Ensure that all information provided to Rapidus, including personal and professional details, and Study responses, are accurate. 

(2) Respect and Professionalism 

Treat all individuals, including Rapidus managers and employees, our clients, and those interacting through external Rapidus social feeds, with respect and professionalism. 

(3) Confidentiality and Privacy 

Respect the confidentiality and privacy of your own membership, our Services and Studies. Refrain from disclosing any confidential or proprietary information about Rapidus, its Services, or members. 

You are prohibited from revealing any personally identifying information of other Rapidus registered users unless that individual has previously revealed their own name or personally identifying information in that specific Rapidus post on our social feed. 

You are prohibited from revealing any personally identifying information of patients. Rapidus does not collect or possess identifiable patient data. 

(4) Compliance with Laws 

Comply with all applicable laws, regulations, and ethical standards on the Platform and in all relevant communications. 

Do not engage in any activities that violate any laws or regulations, including those related to intellectual property and privacy. 

(5) Appropriate Content 

Do not post or transmit any unlawful, infringing, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law on the Website, Platform, Services, Studies or social feed. 

(6) Impersonation and Misrepresentation 

Do not impersonate another person or misrepresent your affiliation with any entity on the Platform. 

(7) Proper Use of Platform 

Use the Platform and Materials for their intended purposes only. 

Do not share your credentials with anyone or allow anyone to use your Platform account. 

Do not engage in any unauthorized activities, such as hacking, distributing malware, or engaging in any form of cybercrime. 

(8) No Use of Children Under 16 

We do not allow use of the Platform nor do we collect personal information from children under 16. If such information is inadvertently collected, or if a parent or guardian becomes aware that a child has provided us with personal information, they should contact us at support@rapidusmr.com. If we learn that we have inadvertently collected the personal information of a child under 16, or equivalent minimum age depending on jurisdiction, we will take steps to delete the information as soon as possible. 

(9) Commercial Promotion 

Do not engage in any commercial promotion on the Platform unless previously agreed in writing. Rapidus does not engage in commercial promotion of third parties. However, if you wish to mention your publication, a book, or any medical achievements on our social feed, contact Rapidus first. 

(10) Unauthorized Access 

Any attempt to obtain unauthorized access or to exceed authorized access to the Platform shall be considered trespassing and computer fraud and abuse, punishable under applicable laws. 

(11) Reporting Violations 

Report any violations of this Code of Conduct to Rapidus at support@rapidusmr.com. 

Cooperate with Rapidus in investigating any reported violations. 

(12) Consequences of Violations 

Rapidus reserves the right to take appropriate action against users who violate this Code of Conduct. Such actions may include warnings, suspension, or termination of access to the Platform and Services. 

(13) Monitoring and Compliance 

Rapidus hereby notifies you that any or all communications with this Platform can be monitored, captured, recorded, and transmitted to the authorities as deemed necessary by Rapidus in its sole discretion and without further notice. 

 

14. Cooperation with Government Authorities 

If necessary and in accordance with applicable law, Rapidus will comply with GDPR, local, state, federal, international, and/or worldwide laws, rules, regulations, law enforcement, government officials, legal authority, or the like. For your applicable laws and jurisdictions consult our Privacy Policy or contact us at support@rapidusmr.com 

 

15. Links to Other Materials 

If the Platform or social feed contain links to other websites or services (e.g. redirecting to Studies or any other content) please acquaint yourself with the separate privacy policies and privacy notices of such websites or services. Rapidus will not be responsible for your personal information shared with others’ websites and services.The linked sites are not necessarily under the control of Rapidus, and Rapidus is not responsible for, nor does it certify the content of any external links to other sites, or any links redirecting to Studies. If You decide to access any of the third-party sites linked to this Platform, you do this entirely at your own risk.  

Rapidus reserves the right to request any web site administrator to disable or remove any link that violates any rights of Rapidus or causes interruption or deterioration of Materials provided by Rapidus. Rapidus also reserves the right to request any linked website administrator to disable or remove any link that is in direct competition with Rapidus or any material posted that elicits the poaching of Rapidus members. Failure to abide by this request shall be dealt with as provided in this section. 

 

16. Applicable Laws 

This Platform is controlled by Rapidus from its EU offices. Rapidus makes no representation that Materials on this Platform are appropriate or available for use in all locations. Those who choose to access this Platform from other locations do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Materials in violation of applicable export laws or regulations. Any claim relating to the Materials shall be governed by local applicable law. 

 

17. Dispute Resolution 

Any dispute between Rapidus and you arising out of this Agreement shall be resolved first by direct communication with one or more of Rapidus’s management team members via e-mail at support@rapidusmr.com. Should Rapidus and you be unable to resolve the dispute by communication and both you and Rapidus jointly agree to do so, Rapidus or you may submit any dispute arising out of or relating to this Agreement, or the breach thereof, to your nearest binding arbitration. The arbitrator shall fully implement the intent and purposes of this Agreement. 

 

18. Entire Agreement 

This Agreement, including the Privacy Policy, and any other Rapidus policy which is incorporated herein by this reference, contains the entire agreement between you and Rapidus relating to the subject matter hereof and supersedes any other oral or written communications relating thereto. This Agreement may not be amended or supplemented by  

(1) any purchase order or similar form originated by you relating to the subject matter hereof, or  

(2) statements of any of Rapidus’s employees. 

 

19. Termination 

Your right to access and use the Platform and Materials immediately terminates without further notice upon your breach or violation of this Agreement. Rapidus may terminate this Agreement and/or your right to use the Platform and Materials at any time, with or without cause. Sections 3, 9, 12, 13, 14, 15, 16, 17, 18, 19, 20, 21, 22, 23, and 24 of this Agreement survive the expiration or termination of this Agreement for any reason whatsoever. Rapidus reserves the right to discontinue or make changes to the Platform and/or Materials at any time. 

 

20. Assignment 

Rapidus may assign this Agreement, in whole or in part, in its sole discretion. You may not assign your rights under this Agreement without Rapidus’s prior written permission. Any attempt by you to assign your rights under this Agreement without Rapidus’s permission shall be void. 

 

21. Waiver of Breach 

Any failure to enforce any term or provision of this Agreement shall not be deemed a waiver of that or any other breach of that or any other term or provision of this Agreement. In addition, any failure to enforce any term or provision of this Agreement shall not constitute a waiver of a future breach of that or any other term or provision of this Agreement. 

 

22. Force Majeure 

Rapidus shall not be liable for any failure or unavailability of the Platform and/or the Materials or failure by Rapidus to perform a transaction as a result of strikes, lockouts, calamities, pandemics, acts of God, unavailability of suppliers, the loss or destruction of data, the deletion or corruption of storage media, power failures, natural phenomena, riots, acts of vandalism, acts or omissions of civil or military authority, war, terrorism or any other event beyond Rapidus’s control. 

 

23. Notice 

Rapidus may deliver notice to you under this Agreement by means of electronic mail, a general notice on http://www.rapidusmr.com, or by written communication delivered by mail to your address on record in Rapidus’s account information. You may give notice to Rapidus at any time via electronic mail to info@rapidusmr.com or support@rapidusmr.com or by letter delivered by first-class postage prepaid mail or equivalent official postage format overnight courier to the following address: 

Rapidus, U Trojice 1042/2,Smichov (Praha 5),15 000 Prague,Czech Republic,Attn: Rapidus Legal Department.  

If you object to any material found on this Platform, please bring your concerns to the attention of support@rapidusmr.com. The Platform administrator reserves the right to remove any material alleged to be infringing any third-party rights pending further investigation. 

 

24. Headings 

The headings of articles and sections contained in this Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Agreement. 

 

25. Invalidity 

If any provision of this Agreement shall be held, be deemed or shall in fact be, invalid, inoperative, or unenforceable as applied to any particular case or circumstance because of the conflicts of any provision with any law, regulation, ordinance, or for any other reason, the provision or provisions in question shall not be invalid, inoperative, or unenforceable in any other case or circumstance, nor shall any other provision or provisions herein contained thereby be or become invalid, inoperative, or unenforceable, and such provision shall be reformed so that it would be valid, operative, and enforceable to the maximum extent permitted in such circumstances. 

 

26. General 

Rapidus reserves the right to make changes to this Agreement at any time without notice. Rapidus agrees to post all amended forms of this Agreement on the Platform, and such amended forms shall be effective immediately upon its posting. It is at all times your responsibility to read the most current form of this Agreement before using the Platform to ensure that you agree to the terms and conditions of any amendments made to this Agreement. You agree that these standards for notice of amendments to this Agreement are reasonable. You understand and agree that if you use the Rapidus Services or access the Platform after the date on which the amendment has been posted, you consent to such amendment. 

 

By using the Platform and its Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
